Terms of Service

1. Acceptance

These Terms are a binding agreement between RapidIteration (“Networkbase”) and the customer (“you”). By creating an account, joining an organization, or using the service, you accept these Terms, the Privacy Policy, and — where you act as a controller of member data — our Data Processing Agreement.

2. Definitions

“Service” means the Networkbase platform. “Customer Data” means data you or your members submit. “Authorized Users” means people you permit to access your account. “Member Personal Data” means personal data about your members that we process on your behalf as processor.

3. The service and access grant

We grant you a non-exclusive, non-transferable right to access and use the Service during your subscription, subject to these Terms. We may update the Service; we will not materially reduce core functionality without notice.

4. Accounts and Authorized Users

You are responsible for your account, your Authorized Users’ compliance, and safeguarding credentials. You must provide accurate information and accept the Terms and Privacy Policy at signup.

5. Acceptable use

You will not break the law, infringe rights, upload malware, attempt to breach security or tenant isolation, or send commercial email in violation of anti-spam law (CASL, CAN-SPAM) — including without a lawful basis/consent, a functioning unsubscribe, or your physical mailing address. You are responsible for the content and lawfulness of campaigns you send.

6. Customer obligations and lawful-basis warranty

You warrant that you have the necessary rights, consents, and lawful basis to collect and provide Member Personal Data and to instruct us to process it, and that your own privacy notices to members are adequate. You are the controller of Member Personal Data.

7. Subscription, fees, billing, trials and taxes

Fees, billing cycle, and any free trial are as presented at signup. Fees are exclusive of taxes. Non-payment may lead to suspension. Payments are processed by Stripe.

8. Trial / beta features

Trial and beta features are provided “as is”, may change or be withdrawn, and carry no warranty or service-level commitment.

9. Intellectual property

We own the Service and all related intellectual property. You retain ownership of Customer Data (see §10). Feedback you provide may be used without restriction.

10. Customer Data ownership and licence

You own your Customer Data. You grant us a limited licence to host, process, and transmit it solely to provide the Service and as described in the Privacy Policy. On termination, you may export your data; we then delete or return it per our agreement and retention schedule.

11. Third-party services and sub-processors

The Service relies on the sub-processors we publish. Your use of third-party integrations is at your own risk and subject to their terms.

12. Confidentiality

Each party will protect the other’s confidential information with reasonable care and use it only to perform under these Terms.

13. Warranties and disclaimers

Except as expressly stated, the Service is provided “as is” and “as available,” without warranties of any kind, to the maximum extent permitted by law.

14. Limitation of liability

To the maximum extent permitted by law, neither party is liable for indirect, incidental, or consequential damages, and each party’s aggregate liability is limited to the fees paid in the preceding 12 months.

15. Indemnification

You will indemnify us against claims arising from your Customer Data or unlawful use of the Service.

16. Term and termination

These Terms run for your subscription term. Either party may terminate for material breach uncured within 30 days. On termination, access ends and data handling follows §10. Sections that by nature survive (intellectual property, confidentiality, liability, governing law) survive.

17. Governing law and disputes

These Terms are governed by the laws of British Columbia, Canada, and disputes are subject to the courts located in Vancouver, British Columbia, without regard to conflict-of-laws rules.

18. Changes

We may update these Terms; material changes will be notified and may require renewed acceptance to continue using the Service.
